Client confidentiality
Our principles for protecting information shared in prospective and confirmed professional relationships.
1. Our commitment
Syspera & Company Limited recognises that clients and prospective clients may share commercially sensitive, operational, personal or otherwise confidential information. We aim to handle such information carefully, use it only for legitimate and authorised purposes, and limit access to those who need it.
2. What may be confidential
Confidential information may include business plans, strategies, financial and operational data, security information, technical materials, customer or employee information, proposals, internal documents, trade secrets and information identified as confidential or which should reasonably be understood to be confidential in context.
3. Purpose and access
Information should be used only for the purpose for which it was shared or as otherwise authorised. Access should be limited to authorised personnel, professional advisers and approved service providers who need it for the relevant work and are subject to appropriate confidentiality obligations.
4. Safeguards
Depending on the nature of the information and engagement, safeguards may include access controls, secure transfer and storage, careful handling of working documents, appropriate staff guidance, and contractual confidentiality provisions. Clients should use agreed secure channels for sensitive materials and tell us about any handling requirements before transferring them.
5. Disclosure exceptions
Confidential information may be disclosed where the client has authorised disclosure, where disclosure is required by law or a competent authority, or where another lawful exception applies. Where legally permitted and reasonably practicable, we should provide notice before making a legally compelled disclosure.
6. Information not covered
Confidentiality obligations may not apply to information that is demonstrably public through no breach, already lawfully known without a duty of confidence, independently developed without using confidential information, or lawfully received from another source without restriction. The applicable contract and law determine the treatment of any particular information.
7. Return, retention and deletion
At the end of an engagement, the handling of confidential information, including return, retention or deletion, should follow the engagement agreement, applicable law and legitimate recordkeeping requirements. Some records may need to be retained for legal, regulatory, audit, insurance or dispute-management purposes.
8. Client responsibilities
Clients should ensure they are authorised to share information with us, minimise unnecessary personal or sensitive data, identify special handling requirements, and avoid sending passwords, access credentials or unrelated sensitive information through general email or website forms.
9. Engagement terms take precedence
This page describes general principles and does not itself create or replace a non-disclosure agreement, data processing agreement, statement of work or other signed contract. Where a signed agreement sets specific confidentiality obligations, that agreement and applicable law govern the engagement.
10. Contact
